Dan Cohen runs an AI-augmented production engine — AI is operating leverage, not the product. The product is games people love. AI is how two founders make them at studio scale and indie cost.

The moat isn't "we use AI" — everyone will. The moat is the system, the founders' taste in wielding it, a compounding catalogue of titles fully owned, and the cross-genre data accumulated with each launch.

Tax reliefs for qualifying investors

SEIS and EIS are UK government schemes. The reliefs below are subject to individual tax circumstances and maintained qualifying status.

50%
SEIS income-tax relief. A £10k investment costs just £5k net. Gains CGT-free after a 3-year hold. Max investor cap: £200k/yr.
30%
EIS income-tax relief, plus CGT deferral and gains CGT-free after a 3-year hold. Max investor cap: £1m/yr.
Loss relief
Net losses can be set against income tax if the investment doesn't work out. The downside is heavily cushioned even in the worst case.
3-yr hold
Both SEIS and EIS require a minimum 3-year holding period. After that, disposal gains are fully CGT-exempt for qualifying investors.

Qualifying criteria — Leaf Wind Studios

  • Based in Cardiff, UK — permanent establishment
  • Fewer than 25 full-time equivalent employees
  • Gross assets ≤ £350,000 at point of share issue
  • Qualifying trade commenced less than 3 years ago
  • Independent — no controlling interest by another company
  • Ordinary shares issued — no preferential dividend, no redemption rights, no preference on winding up
  • No prior EIS or VCT investment
  • SEIS company raise cap: £250,000 lifetime (post April 2023)
HMRC Advance Assurance: We are currently preparing our HMRC Advance Assurance application for both SEIS and EIS. Advance Assurance has not yet been obtained. We expect to complete this process before the round opens to investors. The Advance Assurance letter will be made available to qualifying investors on request.

Months 6–12
Scale the winners. Pour acquisition spend into the titles that prove out, widen the slate across genres, and reinvest early revenue into the next wave.
Months 12–24
A studio that stands on its own. A live portfolio across multiple genres, a compounding catalogue fully owned, and the cash flow to keep launching.
